Payment Terms
Payment terms for our services are defined in individual project agreements. General terms include:
- Projects are scoped and quoted on a fixed-price basis unless otherwise agreed upon in writing
- A deposit may be required before work begins, as specified in the project agreement
- Invoices are due upon receipt unless otherwise specified in the project agreement
- Late payments may incur interest as permitted by applicable law
- We reserve the right to pause work on a project if payments are significantly overdue
- All fees are non-refundable unless otherwise stated in the project agreement
Project Scope and Changes
The scope of work for each project is defined in the project agreement or statement of work. Any changes or additions to the agreed scope (“change orders”) may require a revised quote and timeline. We will communicate any scope changes and obtain written approval before proceeding with additional work.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes business strategies, technical specifications, source code, and user data. Confidentiality obligations survive the termination of any engagement.
Warranties and Disclaimers
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Except for this express warranty:

- We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement

Indemnification
You agree to indemnify and hold harmless GSD Tech Solutions LLC, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our website, your violation of these Terms, or your violation of any third-party rights.
Termination
We may suspend or terminate your access to our website at any time, without notice, for conduct that we believe violates these Terms or is harmful to our business or other users. Termination of services is governed by the terms of the individual project agreement. Upon termination of a project, all outstanding payments become immediately due.
Dispute Resolution
In the event of a dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through mediation or binding arbitration in the State of Utah, in accordance with the rules of the American Arbitration Association.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our website or services shall be resolved in the state or federal courts located in Utah.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Entire Agreement
